Terms & Conditions – Intellistay

These Terms & Conditions (“Terms”) govern your access to and use of Intellistay, a Property Management System (PMS) owned and operated by NexgenAastra Tech Solutions Private Limited (“Company”, “we”, “our”, “us”). 

By installing, accessing, or using the Intellistay mobile application (Android & iOS) or web platform, you agree to comply with and be bound by these Terms. If you do not agree, you must not use the Service. 

 

1. About Intellistay 

Intellistay is a cloud-based Hotel Property Management System (PMS) designed to help hotels manage: 

  • Reservations and check-ins/check-outs
  • Rooms, rates, and availability
  • Guests and billing
  • Restaurant orders and services
  • Reports and analytics
  • Channel Manager and OTA integrations

Intellistay is a commercial SaaS product and is not freeware or open-source software. 

 

2. Definitions 

  • User / You: Any individual or organization accessing Intellistay.
  • Hotel / Client: The hospitality business using Intellistay.
  • Account: A registered user profile used to access the Service.
  • Service: The Intellistay mobile app, web app, and related features.
  • Channel Manager: A third-party system integrated for OTA rate and availability sync.

 

3. User Accounts & Responsibilities 

  • Users must provideaccurate and complete informationwhile creating accounts.
  • You are responsible for maintaining theconfidentiality of login credentials.
  • All actions performed under your account are your responsibility.
  • The Company is not liable for losses caused by unauthorized access due to user negligence.

 

4. License & Usage Rights 

  • Intellistay is provided under acommercial license.
  • The software may be used only byauthorized users of the subscribed organization.
  • You may not:
    • Copy, distribute, resell, or sublicense the software
    • Use the software without a valid subscription or agreement
    • Attempt to reverse-engineer or tamper with the system

 

5. Subscription, Fees & Service Changes 

  • Access to Intellistay may be subject tosubscription feesas agreed.
  • The Company reserves the right to:
    • Modify features or pricing
  • Add or remove functionalities
  • Temporarily suspend or discontinue services

Continued use after changes constitutes acceptance of the updated Terms. 

 

6. Channel Manager & Third-Party Integrations 

  • Intellistay may integrate withthird-party channel managers, OTAs, payment gateways, and messaging services.
  • Data shared with these services is governed by their respective terms and privacy policies.
  • The Company is not responsible for service interruptions or issues caused by third-party platforms.

 

7. Data Ownership & Responsibility 

  • All hotel and guest data entered into Intellistaybelongs to the hotel/client.
  • Intellistay acts as adata processor, not the data owner.
  • Users are responsible for ensuring data accuracy and lawful usage.

 

8. Camera & Media Usage 

  • The application may access the devicecamera and photo libraryonly when initiated by the user to:
    • Upload guest ID proofs
    • Upload room, property, or document images
  • No images or videos are captured or stored without user consent.
  • The camera isnot used in the background.

 

9. Prohibited Activities 

Users must not: 

  • Use pirated, cracked, or unauthorized versions of the software
  • Share login credentials across unauthorized users
  • Upload unlawful, misleading, or harmful data
  • Attempt to disrupt system security or performance

Violation may result in immediate suspension or termination. 

 

10. Termination & Cancellation 

  • Users may request account cancellation as per subscription terms.
  • The Company reserves the right to terminate access in cases of:
    • License violation
    • Payment default
    • Illegal or fraudulent activity

Termination does not waive outstanding payment obligations. 

 

11. Disclaimer of Warranties 

The Service is provided “AS IS” and “AS AVAILABLE”. 

The Company does not guarantee: 

  • Uninterrupted or error-free operation
  • Absolute accuracy of reports or data
  • Compatibility with all devices or third-party services

 

12. Limitation of Liability 

To the maximum extent permitted by law: 

  • The Company shall not be liable for indirect, incidental, or consequential damages
  • Loss of data, revenue, or business arising from use of the Service is at the user’s risk

 

13. Intellectual Property 

All content, software, design, and trademarks related to Intellistay are the exclusive property of NexgenAastra Tech Solutions Private Limited. Unauthorized reproduction or use is strictly prohibited. 

 

14. Governing Law 

These Terms shall be governed by and interpreted in accordance with the laws of India. Any disputes shall be subject to the jurisdiction of Indian courts.
